Terms & Conditions

Last updated: 16 October 2026

Welcome to Code Zenius. These Terms & Conditions ("Terms") govern your access to and use of codezenius.com and all services, deliverables, proposals, and communications provided by Code Zenius ("we", "our", "us"). By visiting our website or engaging our services, you agree to these Terms.

1. Services

Code Zenius provides digital marketing, web design & development, branding, content, SEO, paid advertising, and related creative services. The exact scope, deliverables, timelines, and fees for each engagement are defined in a written proposal, statement of work, or signed agreement, which takes precedence over general terms where applicable.

2. Client Responsibilities

  • Provide accurate information, brand assets, access, and approvals in a timely manner.
  • Assign a decision-maker to review and approve deliverables within agreed timelines.
  • Ensure that all materials shared with us do not infringe third-party rights.
  • Comply with platform policies (Google, Meta, LinkedIn, etc.) relevant to your campaigns.

3. Fees & Payment

  • All fees are quoted in the proposal and are exclusive of taxes, ad spend, and third-party tool costs unless stated otherwise.
  • Retainer and setup fees are typically invoiced in advance; project fees follow the milestone schedule agreed in writing.
  • Invoices are due within 7 days of issue unless otherwise agreed. Overdue balances may attract interest and can result in pausing of services.
  • Ad spend is billed directly to the client's payment method on the ad platform unless a managed-spend arrangement is agreed.

4. Revisions & Approvals

The number of revision rounds included in each deliverable is defined in the proposal. Additional revisions beyond the agreed scope will be quoted separately. Approvals are considered final once confirmed in writing (email or messaging).

5. Timelines

We commit to reasonable timelines outlined in each engagement. Delays caused by pending client feedback, third-party dependencies, or platform reviews are outside our control and may shift delivery dates.

6. Intellectual Property

  • Upon full payment, ownership of the final approved deliverables transfers to the client.
  • Working files, source files, and internal frameworks remain the property of Code Zenius unless explicitly included in the scope.
  • We may showcase completed work in our portfolio and marketing unless the client requests otherwise in writing.

7. Confidentiality

Both parties agree to keep confidential information shared during the engagement private and to use it only for the purpose of delivering the services. This obligation survives the end of the engagement.

8. Performance & No Guarantees

We apply proven strategies, industry best practices, and data-driven decision-making to drive results. However, outcomes from marketing activities depend on multiple external factors and we do not guarantee specific rankings, leads, revenue, or ROI unless expressly stated in a written performance agreement.

9. Refund Policy

Fees for work already performed, hours booked, third-party tool licences, and ad spend are non-refundable. Refund requests for undelivered work must be raised in writing within 7 days of the invoice date and will be evaluated on a case-by-case basis.

10. Termination

Either party may terminate an ongoing engagement with 30 days' written notice. Fees for services rendered up to the termination date remain payable. We reserve the right to suspend or terminate services immediately in cases of non-payment, abuse, or breach of these Terms.

11. Limitation of Liability

To the fullest extent permitted by law, Code Zenius's total liability arising out of or relating to any engagement will not exceed the total fees paid by the client during the three (3) months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

12. Third-Party Platforms

Our services often involve third-party platforms (Google, Meta, LinkedIn, hosting providers, CMS, analytics tools). We are not responsible for changes, downtime, policy updates, account suspensions, or pricing changes on these platforms.

13. Governing Law

These Terms are governed by the laws of India. Any dispute arising out of these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

14. Changes to These Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the latest revision. Continued use of our services after changes signifies acceptance.
